TERMS AND CONDITIONS – PLANT PREPPED

These Terms and Conditions (“Terms”, “Terms and Conditions”) govern your relationship with Plant Prepped website (the “Service”) operated by Plant Prepped (“us”, “we”, or “our”).

Please read these Terms and Conditions carefully before using the Service.

Your access to and use of the Service is based on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms and accept all legal consequences. If you do not agree to these terms and conditions, in whole or in part, you cannot use the Service.

Subscriptions

PLANT PREPPED IS A WEEKLY SUBSCRIPTION SERVICE. WEEKLY DEADLINE TO SKIP WEEKS OR SELECT MEALS IS 12:00 AM EST ON THE MONDAY PRIOR TO THE WEEK OF NEXT SCHEDULED DELIVERY. If you do not cancel or skip a week by this time, you will be charged and your order will go in production for the upcoming week.

In an event, where a week is not skipped and the meals are not selected, the meals will be auto generated.

The service is billed on a subscription basis (“Subscription(s)”). You will be billed 1 week in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a weekly basis.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Plant Prepped cancels it.

You may cancel your Subscription renewal by contacting Plant Prepped customer support team. support@plantprepped.com Your subscription will be canceled within 24 hours, however should you fail to send us a cancellation request email before our weekly deadline, which is every Monday, 12:00 AM EST, prior to the week of the next scheduled shipment, you will be charged for your last box. The last order will go into production and will be delivered as scheduled.

A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide Plant Prepped with accurate and complete billing information including full name, address, province, postal code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Plant Prepped to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Plant Prepped will issue an electronic invoice indicating that you must proceed manually, with the full payment corresponding to the billing period as indicated on the invoice.

Fee Changes
Plant Prepped, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Plant Prepped will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect and constitutes your agreement to pay the modified Subscription fee amount.

Refunds

If you do not cancel or skip a week by our weekly cut off time, which is every Monday at 12:00 AM EST, prior to your next scheduled delivery, you will be charged and your order will go into production for the upcoming week. There are no refunds for orders once they are in production.

You will not be refunded if you fail to skip or cancel a week before our weekly cut off time, which is Monday at 12:00 AM EST, prior to the week of your next scheduled delivery.

If you are unsatisfied with a part of your Meal Kit, please reach out to us at support@plantprepped.com Please do so within three (3) days of the date you received the unsatisfactory item. We will do our best to resolve all issues.

Accounts
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username: the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Intellectual Property
The Service and all contents, including but not limited to text, images, graphics or code are the property of Plant Prepped and are protected by copyright, trademarks, database and other intellectual property rights. You may display and copy, download or print portions of the material from the different areas of the Service only for your own non-commercial use. Any other use is strictly prohibited and may violate copyright, trademark and other laws. These Terms do not grant you a license to use any trademark of Plant Prepped or its affiliates. You further agree not to use, change or delete any proprietary notices from materials downloaded from the Service.

Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms.

All provisions of the Terms shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Upon termination, your right to use the Service will immediately cease. You may cancel your Subscription renewal by contacting Plant Prepped customer support team. support@plantprepped.com WEEKLY DEADLINE TO CANCEL, SKIP WEEKS OR SELECT MEALS IS 12:00 AM EST ON THE MONDAY PRIOR TO THE WEEK OF NEXT SCHEDULED DELIVERY. If you do not cancel or skip a week by this time, you will be charged and your order will go in production for the upcoming week.

Governing Law
These Terms shall be governed by, and interpreted and enforced in accordance with, the laws of Canada, as applicable.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then any remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements, oral or otherwise, regarding the Service.

Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, you may cancel your Subscription renewal by contacting Plant Prepped customer support team. support@plantprepped.com. WEEKLY DEADLINE TO CANCEL, SKIP WEEKS OR SELECT MEALS IS 12:00 AM EST ON THE MONDAY PRIOR TO THE WEEK OF NEXT SCHEDULED DELIVERY. If you do not cancel or skip a week by this time, you will be charged and your order will go in production for the upcoming week and no refunds will be issued.
